1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Exolane Labs ("Exolane," "we," "us," or "our") governing your access to and use of the Exolane protocol, website, applications, and all related services (collectively, the "Services").

By accessing or using the Services, connecting your wallet, or clicking to accept these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

By using the Services, you represent and warrant that:

• You are at least 18 years old or the age of legal majority in your jurisdiction
• You have the full legal capacity and authority to enter into these Terms
• You are not a resident of, located in, or accessing the Services from any Restricted Territory (as defined below)
• You are not subject to any sanctions administered by OFAC, the UN Security Council, the EU, or any other governmental authority
• Your use of the Services will not violate any applicable law, regulation, or rule
• You have not previously been suspended or removed from the Services

3. Restricted Territories

The Services are not available to residents of, or persons located in, the following territories ("Restricted Territories"):

• United States of America (including all territories)
• Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine
• Any other jurisdiction where the use of the Services would be illegal or otherwise violate any applicable law

We reserve the right to restrict, block, or terminate your access to the Services if we determine, in our sole discretion, that you are accessing the Services from a Restricted Territory.

4. Nature of the Protocol

4.1 Non-Custodial Design

Exolane is a decentralized, non-custodial perpetual futures trading protocol. The protocol:

• Does not take custody or control of your digital assets at any time
• Does not hold, manage, or have access to your private keys
• Operates through immutable smart contracts deployed on blockchain networks
• Executes trades and settlements automatically through smart contract logic

4.2 No Financial Advice

The Services do not constitute financial, investment, trading, tax, legal, or other professional advice. We do not recommend or endorse any particular trading strategy, token, or investment. You should consult with qualified professionals before making any financial decisions.

4.3 No Guarantees

We make no guarantees regarding:

• The performance, profitability, or success of any trading activity
• The accuracy, completeness, or timeliness of any information displayed
• The continuous, uninterrupted, or secure operation of the Services
• Protection from financial losses, including total loss of funds
• The value, stability, or functionality of any digital asset

5. Risk Disclosures

By using the Services, you acknowledge and accept the following risks:

5.1 Trading Risks

• Perpetual futures trading involves substantial risk of loss, including total loss of principal
• Leverage amplifies both gains and losses; you may lose more than your initial margin
• Past performance is not indicative of future results
• Prices can be extremely volatile and may gap significantly between trading sessions
• Liquidation can occur rapidly during volatile market conditions

5.2 Technical Risks

• Smart contracts may contain bugs, vulnerabilities, or unexpected behaviors
• Blockchain networks may experience congestion, delays, or failures
• Oracle price feeds may be delayed, inaccurate, or manipulated
• Protocol upgrades or changes may affect your positions or funds
• Private key loss results in permanent and irreversible loss of funds

5.3 Regulatory Risks

• Regulatory changes may affect the legality or availability of the Services
• Your jurisdiction may impose restrictions on cryptocurrency trading
• Tax treatment of digital assets varies by jurisdiction and is subject to change

6. User Responsibilities

You are solely responsible for:

• Maintaining the security of your wallet, private keys, and credentials
• All trading decisions and their consequences
• Ensuring compliance with all applicable laws and regulations in your jurisdiction
• Understanding the risks associated with perpetual futures trading
• Verifying all transaction details before execution
• Reporting and paying any applicable taxes on your trading activities
• Conducting your own research and due diligence

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Services from a Restricted Territory or circumventing geographic restrictions
• Violating any applicable law, regulation, or third-party rights
• Market manipulation, including wash trading, spoofing, or layering
• Using the Services for money laundering, terrorist financing, or other illicit purposes
• Attempting to interfere with, disrupt, or exploit the Services or underlying protocols
• Reverse engineering, decompiling, or attempting to extract source code
• Using automated systems or bots to gain unfair advantage over other users
• Impersonating others or providing false information
• Infringing on intellectual property rights

8. Fees

You agree to pay all applicable fees associated with your use of the Services, including:

• Trading Fees: Fees charged on order execution as displayed on the platform
• Funding Rates: Periodic payments between long and short positions
• Gas Fees: Blockchain network fees for transaction execution
• Liquidation Fees: Fees incurred when positions are liquidated

Fee schedules may be updated from time to time. Current fees are displayed on the platform and in our documentation.

9. Intellectual Property

The Services, including all content, features, and functionality, are owned by Exolane or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms.

The Exolane name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Exolane or its affiliates. You may not use such marks without prior written permission.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that: (a) the Services will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Services are free of viruses or other harmful components; or (d) the results of using the Services will meet your requirements.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXOLANE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO EXOLANE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Exolane and its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, costs, investigations, liabilities, judgments, fines, penalties, settlements, interest, and expenses (including attorneys' fees) arising out of or relating to:

• Your use of or inability to use the Services
• Your violation of these Terms or any applicable law
• Your violation of any third-party rights
• Your trading activities and decisions

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be resolved by binding arbitration. The arbitration shall be conducted in accordance with the rules of the Singapore International Arbitration Centre (SIAC).

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law provisions.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last Updated" date and, where appropriate, provide additional notice. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.

We recommend that you review these Terms periodically for any changes.

16. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Exolane regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
